We also act as “in-house counsel” on a monthly retainer for companies that need access to our lawyers who attend to clients’ matters as if the lawyers work for clients in-house. Our lawyer will, at the client;s request attend the regular or special shareholders or directors meeting and draft the necessary minutes or resolutions, prepare and file regulatory filings when necessary, and provide legal opinion on the meetings held for regulatory or other compliance. In such a “in-house counsel” role, our firm also performs duties similar to the company secretary providing services for preparing and maintaining all corporate and legal documents for easy and convenience access by the management as well as the regional office of the clients.
The second draft has also been released several months ago in April 2022. This draft will go through the comments and opinion gatherings from banks, credit and financial institutions, relevant ministries, and if all go well, then the Government will give its nod to the rule.
